This Memorandum of Understanding (MOU) made on this 22... day Indian Railways, Ministry of Railways Govt. of India, having its Registered Office at Rail Bhavan, Raisina road,Rajpath Area, Central Sectt., New Delhi-110001 as the ONE PART (hereinafter referred to as “Railways” which expression shall, unless the context otherwise specifies, mean and include its successors and permitted assigns), AND M/s NTPC Limited, a company incorporated under the Company Act, 1956, having its Registered Office at NTPC Bhawan, SCOPE Complex,7, Institutional Area, Lodi Road , New Delhi -110003 (its successors and permitted assigns) of the OTHER PART, hereinafter called the “NTPC”; WHEREAS NTPC is engaged in the generation and sale of electrical energy and has established various Power Stations in different parts of the country and the Railways is engaged in transportation of goods and passenger in the country. WHEREAS the NTPC has requested the Railways for supply of coal rakes on priority basis from coal sources / mines, for NTPC Power Stations (hereinafter called "POWER STATION"). he u न 1.0 2.0 3.0 2 AND WHEREAS the Railways has agreed on the request of NTPC for supply of coal rakes to the NTPC on priority basis and on mutually agreed terms and conditions set forth herein. NOW THEREFORE, in consideration of the premises and mutual covenants herein under, the Parties hereto agree as follows:- Tenure of Agreement : This Memorandum of Understanding (MOU) will be effective from the date of signing for all purposes and intents and shall remain in force for one year or till the advance freight amount exhausts. Understandings between Railways & NTPC : 1. NTPC is drawing coal to the tune of 80 MMT approx. on annual basis for the entire gamut of its Power stations spread across the whole country which is carried by the Indian Railways. 2. The freight paid for by NTPC to Railways for these operations is in excess of 2 6,000Crore per annum. 3. The constraints in coal transportation function and procedural delays of freight system sometimes entail loss of generation in terms of declared capacity losses by stations which may run into thousands of crores of rupees. 4. To avoid such losses on account of Declared capacity and capacities lost on account of coal non-availability it would be prudent that NTPC and Railways devise a system of ensuring uninterrupted coal transportation to NTPC power stations thereby making more power available to the country. Terms & Conditions of Understandings: 1. NTPC shall agree to pay Railways % 5000 Crore inclusive of GST, in advance as freight charges of the following financial year, i.e. 2018-19. 2. Railways will ensure priority in allocation and dispatch of coal rakes to NTPC stations to enable NTPC to avoid generation loss on account of coal. Towards this end, a mutually acceptable month wise loading plan for each NTPC station will be prepared. Railways will make all efforts to meet the monthly programme amounting up to eighty rakes (80) of coal per day or as mutually agreed, provided adequate availability of coal in sidings and required loading of rakes is ensured by coal companies/NTPC. Unfulfilled programme, if any, would not lapse at the end of the month and would be carried forward to the next month and would be in addition to the earlier agreed monthly programme for that month. 3. Railways will ensure that no coal rakes of NTPC Stations are diverted to outside NTPC and shall be limited to between NTPC stations only. 4. The rakes will be run by Railways as point-to-point rakes and no diversion will be entertained by Railways as far as possible. Demurrage cases involving reasons beyond the control of NTPC shall be considered on merit by Zonal Railways. 4 इज 10. aye a2. 13. 14. 15. 3 The charges accrued against RR shall be adjusted from the advance paid, throughout the year till such time net credit is available against the same.
